Terms of Service
Welcome to VebboPay. These Terms of Service ("Terms") govern your access to and use of the VebboPay websites, products, and services ("Services"). Please read these Terms carefully. By creating an account or using our Services, you agree to be bound by these Terms and our Privacy Policy.
1. Account Registration and Use
You must be at least 18 years old to create a VebboPay account. You agree to provide accurate, current, and complete information during registration and to keep this information updated. You are responsible for safeguarding your account credentials and for all activities that occur under your account.
2. VebboPay Services
Our Services provide you with tools to manage finances, including the ability to create and deploy autonomous software agents ("AI Agents") to perform financial tasks on your behalf. You are solely responsible for the configuration, instructions, and rules you provide to any AI Agent you create.
3. Intellectual Property
All rights, title, and interest in and to the Services, including all associated intellectual property rights, are the exclusive property of Vebbo Pay, Inc. and its licensors. Our brand, logos, and all related names are our trademarks. You may not use them without our prior written consent.
4. Termination
We may suspend or terminate your access to the Services at any time, for any reason, including for a violation of these Terms or our Acceptable Use Policy. You may close your account at any time by contacting support.
Privacy Policy
This Privacy Policy describes how Vebbo Pay, Inc. ("VebboPay," "we," "us," or "our") collects, uses, and shares information about you when you use our Services.
1. Information We Collect
- Personal Information: Name, email address, phone number, date of birth, and government-issued identification for identity verification (KYC/AML).
- Financial Information: Bank account details, transaction history, balances, and information related to the AI Agents you create, such as their budgets and rules.
- Usage and Device Information: IP address, browser type, device identifiers, operating system, and how you interact with our Services.
2. How We Use Your Information
- To provide, maintain, and improve our Services.
- To process transactions and prevent fraud.
- To comply with legal obligations, such as anti-money laundering laws.
- To communicate with you about your account and our Services.
3. How We Share Your Information
We do not sell your personal information. We may share your information with third-party service providers for purposes such as identity verification, fraud prevention, and infrastructure hosting. We may also share information if required by law or to protect our rights.
Data Processing Agreement (DPA)
This DPA applies to you if you are a business customer ("Controller") and VebboPay ("Processor") processes personal data on your behalf (e.g., employee data for payroll).
1. Roles and Responsibilities
As the Controller, you determine the purposes and means of processing personal data. As the Processor, we will only process this data on your documented instructions. We will implement appropriate technical and organizational measures to ensure the security of the data.
2. Security of Processing
VebboPay commits to maintaining a robust security program, including encryption of data in transit and at rest, access controls, and regular security assessments. In the event of a security breach affecting your data, we will notify you without undue delay.
3. Sub-processors
We may engage third-party sub-processors to assist in providing the Services. We will maintain a list of our sub-processors and will provide you with notice of any changes. We remain responsible for the performance of our sub-processors.
Consumer Data Rights
VebboPay recognizes and respects your rights over your personal data under applicable laws like the GDPR and CCPA/CPRA.
1. Your Rights
- Right to Access: You can request a copy of the personal information we hold about you.
- Right to Rectification: You can request that we correct any inaccurate or incomplete information.
- Right to Erasure ("Right to be Forgotten"): You can request the deletion of your personal information, subject to our legal and regulatory retention obligations.
- Right to Opt-Out: You have the right to opt-out of the "sale" or "sharing" of your personal information, as defined by the CCPA/CPRA.
2. How to Exercise Your Rights
To exercise any of these rights, please submit a request to our support team through the "Contact" page or by emailing privacy@vebbopay.com. We will respond to your verifiable consumer request within the timeframes stipulated by law.
Acceptable Use Policy
You agree not to misuse the VebboPay Services or help anyone else to do so. You agree not to do any of the following in connection with the Services:
- Use the Services for any illegal or fraudulent activities, including money laundering or terrorist financing.
- Infringe on the intellectual property rights of others.
- Distribute viruses, malware, or other malicious software.
- Attempt to gain unauthorized access to our systems or another user's account.
- Create AI Agents designed to circumvent security controls or violate the terms of service of another platform.
AI Agent & Automation Policy
1. User Responsibility
You are the creator and commander of any AI Agent deployed from your account. You are wholly and solely responsible for the instructions, rules, budgets, and ultimate actions taken by your AI Agents. VebboPay provides the platform and execution engine, but the intent and command originate from you.
2. Liability for Agent Actions
VebboPay is not liable for any losses, damages, or unintended consequences resulting from the configuration of your AI Agents. This includes, but is not limited to, overspending due to improperly set budgets, transactions with incorrect parties, or any actions taken by an agent that are compliant with the rules you provided but result in an undesirable outcome.
3. Prohibited Agent Activities
You may not create AI Agents designed to engage in activities that violate our Acceptable Use Policy. We reserve the right to disable any agent we find to be in violation of our policies without prior notice.
Dispute Resolution and Governing Law
1. Governing Law
These Terms and any dispute arising from them will be governed by the laws of the State of California, without regard to its conflict of law provisions.
2. Arbitration
You agree to resolve any disputes with VebboPay through final and binding arbitration, except as set forth under "Exceptions to Agreement to Arbitrate" below. You are giving up the right to go to court to assert or defend your rights under this contract. Your rights will be determined by a neutral arbitrator, not a judge or jury.
3. Exceptions to Agreement to Arbitrate
Either you or VebboPay may assert claims, if they qualify, in small claims court in San Francisco, California.
